Terms of Use

1. About Tradroom

Tradroom is the registered business name of Gearóid Keane(“Tradroom”, “we”, “us”). These terms are an agreement between you and Gearóid Keane, trading as Tradroom.

Tradroom is a private platform for Irish traditional music education. Organisations and independent tutors are the account holders: they use Tradroom under a subscription, whether taken out directly or arranged with us. Their students, those students’ parents or guardians, and an organisation’s additional administrators and tutors join by invitation from that tutor or organisation. Only people with an account may use the service, and by using Tradroom you agree to these terms.

2. Your account

Keep your password secure and do not share your account. You are responsible for activity under your account. Tell us promptly if you believe it has been compromised.

3. Acceptable use

You agree not to:

  • upload unlawful, infringing or harmful content;
  • attempt to access data belonging to other organisations or students;
  • probe, scan or disrupt the security or operation of the service;
  • use the platform to contact people other than your legitimate one-level contacts.

4. Your work stays yours

Everything you upload — your notation, arrangements, transcriptions, recordings, lesson notes and other teaching materials — is the product of your skill, experience and craft, and it remains entirely yours. You keep all copyright and other intellectual-property rights in it. Uploading to Tradroom transfers no ownership to us and we make no claim to it.

To run the platform on your behalf we need your permission to handle your files in a few specific, limited ways. You therefore grant Tradroom a non-exclusive, royalty-free licence — for the sole purpose of operating the service for you — to store, back up, and technically reformat your content for delivery (for example generating secure download links or previews) and to make it available to the people you choose to share it with: your own authorised students, and the classes and organisation you belong to.

That is the whole of the licence. To be clear about what it is not, we will never:

  • sell, rent or trade your content;
  • license it or pass it to any third party for their own use;
  • use it in advertising, or to promote Tradroom, without asking you first;
  • use it to train artificial-intelligence or machine-learning models without your separate, explicit opt-in;
  • share it with other tutors or organisations, or reuse it beyond the students you assigned it to.

The licence exists only so that your material can reach your students, and it lasts only as long as you keep the content on the platform. When you delete a file, or close your account, the licence ends and the file is removed from active service, subject to a short backup-retention window.

Only upload material you have the right to share — you confirm this each time you upload, and you remain responsible for holding any rights needed in third-party works you have arranged or transcribed. If someone brings a claim against us because material you uploaded infringed their rights, that responsibility rests with you rather than with Tradroom.

How long resources are retained depends on your plan. If a paid subscription lapses, resources are kept for a 90-day recovery window and restored if the subscription is renewed within that period; after it, they may be permanently deleted.

5. Children

Tradroom is used to teach students, including children. Where a student is under 18, a parent or guardian should be linked to their account to review the child’s details and manage consent on their behalf.

Responsibility for this — for knowing a student’s age and making sure a guardian is linked where one is needed — rests with the organisation or tutor who invited and manages that student, as the party that holds the relationship with the family. Tradroom provides the tools to link a guardian and record consent, but does not verify ages or check whether a guardian has been added, and is not responsible for enforcing this requirement. 6. Availability, warranties and liability

We work to keep Tradroom available and secure, but we provide it “as is” and “as available” and give no warranties beyond those that cannot be excluded by law. We do not warrant that the service will be uninterrupted or error-free, so please keep your own copies of anything important to you.

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.

Subject to that, we are not liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or data; and our total liability to you arising out of or in connection with the service, in any twelve-month period, is limited to the fees you paid us for the service in that period.

7. Subscriptions, billing and cancellation

Access to Tradroom is provided on a subscription taken out by an organisation or independent tutor (the account holder). The plans, prices and billing frequency (for example monthly or yearly) are those shown when you sign up. Unless we say otherwise, a subscription renews automatically at the end of each billing period at the then-current price, and the account holder authorises us, through our payment provider, to charge the fee for each renewal.

Cancelling. An account holder may cancel at any time from their account or by contacting us. Cancellation stops the next renewal; access continues until the end of the period already paid for and then ends. We do not charge a cancellation fee. (Cancelling a subscription is about billing; closing your account and deleting your data is dealt with in section 8.)

Refunds. Except where the law requires otherwise (including the cooling-off right below) or we agree otherwise, fees already paid are non-refundable, and cancelling part-way through a paid period does not entitle you to a refund for the unused part. If a paid subscription lapses, the 90-day resource recovery window in section 4 applies.

Cooling-off (consumers). If you are a consumer — an individual buying outside a business or profession — you have a legal right to cancel within 14 days of taking out the subscription, without giving a reason, by telling us within that period (email support@tradroom.ie). Because Tradroom is a digital service that starts straight away, by signing up and beginning to use it you ask us to start during the cooling-off period and acknowledge that once the service has been fully provided you lose the right to cancel, and that if you cancel during the period you will pay a proportionate amount for the use you had up to the point you told us. This does not affect your other statutory rights.

Price changes. We may change subscription prices. We will give reasonable notice before a change takes effect, and it will apply from your next renewal; if you do not accept it, you may cancel before it takes effect.

Complimentary access. Tradroom may, at its sole discretion, grant complimentary (free) access to the platform — or to particular features or tiers of it — to any account or user, at any time and for any period, for example during a trial, pilot or beta, or as a goodwill or promotional arrangement. Complimentary access is a discretionary arrangement rather than a purchased entitlement: we may change what it includes, adjust the level or tier of access it provides, alter the terms on which it is given, or withdraw it entirely and move the account onto a paid plan, at any time. Because it is provided free of charge, no fee, credit or refund arises from any such change or withdrawal, and nothing in a complimentary arrangement creates an ongoing right to free access. Where it is practical to do so we will act reasonably and, for a material reduction or withdrawal, give what notice we can.

8. Ending access

You or your organisation may close your account at any time. On closure we delete personal data as described in the Privacy Policy.

Tradroom may also suspend or close an account, or remove content, at our discretion and for any reason — including, but not limited to, a breach of these terms, a risk to other users or to the platform, non-payment, or a legal requirement. Any such decision is made in good faith, is proportionate to the situation, and is taken with fairness to everyone affected; we do not terminate access arbitrarily, dishonestly, or to discriminate.

Except where the law, a safeguarding concern, or a serious security risk calls for immediate action, we will give reasonable notice and, where appropriate, a chance to put things right. Where we can, we will give you the opportunity to export your own content first, and the recovery windows in section 4 continue to apply. If you believe a decision was made in error, contact support@tradroom.ie and we will review it.

9. Changes to these terms

We may update these terms from time to time — for example to reflect new features or legal and operational changes. When we do, we will change the “last updated” date above and, where a change is significant, tell you before it takes effect (for example by email or a notice in the app). If you keep using Tradroom after a change takes effect you accept the updated terms; if you do not agree, you may close your account.

10. General

If any part of these terms is found to be invalid or unenforceable, the rest continues to apply. You may not transfer your rights or obligations under these terms without our consent; we may transfer ours to a successor of the Tradroom business, provided your rights under these terms are not reduced. We are not responsible for failure or delay caused by events beyond our reasonable control. These terms, together with the Privacy Policy, Cookie Policy and — for organisations and tutors — the Data Processing Agreement, form the entire agreement between us about your use of Tradroom.

These terms are governed by the laws of Ireland.
